B2B TERMS OF SERVICE

1. About These Terms
This website is operated under the EcoCraftMind brand by JINHUA MAIKE ART AND CRAFT CO., LTD. These Terms govern business enquiries, quotations, samples, product development, sourcing, OEM/ODM projects and supply transactions initiated through this website.
2. Business-to-Business Use
EcoCraftMind primarily serves retailers, wholesalers, importers, educational institutions, corporate buyers and brands. Website content is provided for general business information and does not constitute a binding offer to sell.
3. Quotations and Order Formation
A binding order is formed only when the parties confirm the applicable quotation, pro forma invoice, purchase order, sales contract or other written agreement. Product specifications, MOQ, pricing, tooling, samples, packaging, payment terms, production schedule, inspection requirements, shipping terms and other commercial details are subject to written confirmation.
4. Contract Priority
If these website Terms conflict with a quotation, pro forma invoice, purchase order accepted by us, sales contract or another written agreement confirmed by both parties, the mutually confirmed document governs to the extent of the conflict.
5. Product Information and Samples
Images, colors, dimensions, materials and descriptions on the website are illustrative. Final specifications must be confirmed in writing. Samples, approved artwork, packaging proofs and specification sheets may form part of the agreed product standard. Reasonable production tolerances may apply where stated in the applicable agreement or accepted industry practice.
6. MOQ, Pricing and Payment
MOQ and pricing vary by product, customization, packaging, quantity and delivery requirements. Unless otherwise agreed in writing, website displays do not constitute final prices. Payment schedules, bank charges, taxes, duties and currency terms are stated in the applicable quotation, pro forma invoice or contract.
7. Customization and Intellectual Property
Customers are responsible for ensuring that logos, artwork, trademarks, designs and other materials supplied to us may lawfully be used. Ownership and permitted use of custom designs, molds, tooling, packaging and development materials are governed by the applicable written agreement.
8. Production and Quality Control
Production begins after the agreed approvals and payment conditions are met. Quality standards, testing requirements, inspection methods, approved samples and acceptance criteria must be agreed for each project. We coordinate production and quality control with our manufacturing and supply network according to the confirmed project requirements.
9. Shipping and Delivery
Production and delivery dates are estimates unless expressly guaranteed in writing. Shipping method, freight cost, insurance, Incoterms, transfer of risk, customs clearance and import obligations are governed by the applicable quotation, pro forma invoice or contract.
10. Inspection, Claims and Remedies
The buyer must inspect goods and notify us of any shortage, damage or alleged non-conformity within the period and by the procedure stated in the applicable written agreement. If no period is stated, the buyer should notify us promptly after discovery and provide sufficient supporting evidence. Any remedy, including rework, replacement, credit or refund, is subject to investigation and written agreement between the parties.
11. Changes and Cancellation
Changes or cancellation requests must be made in writing. Once sampling, tooling, material purchasing, printing, packaging or production has begun, costs already incurred may be payable. The applicable quotation, pro forma invoice or contract controls cancellation rights and charges.
12. Website Availability and Third-Party Services
We may update website content, products and availability without notice. Shopify and other service providers may process website functions, enquiries and communications subject to their own terms and policies.
13. Liability
To the extent permitted by applicable law, neither party is liable for indirect, incidental or consequential losses unless otherwise agreed in writing. Any project-specific warranties, indemnities or liability limits are governed by the applicable contract.
14. Force Majeure
Neither party is responsible for delay or failure caused by events beyond reasonable control, subject to any different provision in the applicable contract.
